A Controlling Director is statutorily defined in ICTA 1988
(Schedule 23, paragraph 5(5); Section 612 and Section 417(5)(b)). A
definition is also contained in Appendix I ('Glossary') of IR12
(Occupational Pension Schemes Practice Notes).
In essence, a Controlling Director is a member of a scheme
who is able to control 20% or more of the ordinary share capital of
the employer company.
