The position of directors and particularly controlling
directors (see
PSI3.3.2-5) is distinguishable
from ordinary arm's length employees in that such directors are in
an influential situation and frequently control the company which
employs them. As well as providing income, the company is often the
main source of family wealth, which can make it difficult for such
a director to know well in advance the age at which he or she will
actually retire. You can accept any NRD proposed for a director
provided he or she will be at least age 60.
