IHTM18280 - Unlisted shares:
unlisted securities
Loan capital is not part of the issued share capital of the
company but is part of the company's borrowing. Unlike bank
overdrafts, or other types of borrowing from banks and financial
institutions, loan capital may be held by individuals and can be
bought and sold in the same way as shares.
- Each type of loan capital is a form of
security.
- The security may be in the form of a
debenture or Loan Stock/Notes.
Unlisted companies
If the security is held in an unlisted company; one that is not
listed on a recognised Stock Exchange,
- refer to Shares and Assets Valuation
(SAV)(
IHTM18141) on form Val70 (
IHTM18151) as you would for an unlisted
shareholding.

Business relief
Securities do not usually carry business relief (
IHTM25001).
- If relief has been claimed because the
securities gave or contributed to “control” of the
company, or it is claimed that they carry voting rights, highlight
the issue for SAV to advise.
